By accessing or using Solventus LLC's services, website, or software products ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our Services.

• AI and machine learning solutions
• Fintech software solutions
• Software consulting and architecture design
• Maintenance and support services

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains accurate

4. Intellectual Property Rights

Our Intellectual Property

Unless otherwise specified in a separate agreement, all intellectual property rights in our Services, including software, designs, logos, and content, remain the property of Solventus LLC.

Client Intellectual Property

Upon full payment, clients receive ownership of custom-developed software and deliverables as specified in their service agreement. We retain the right to use general knowledge, skills, and experience gained during the project.

License Grant

We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms and any applicable service agreement.

5. Payment Terms

• Payment terms are specified in individual service agreements
• All fees are non-refundable unless otherwise stated
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• Clients are responsible for all applicable taxes

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the course of the business relationship. This obligation survives the termination of these Terms.

7. Warranties and Disclaimers

We warrant that our Services will be performed in a professional and workmanlike manner in accordance with industry standards.

Disclaimers

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLVENTUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Solventus LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services or violation of these Terms.

10. Termination

Either party may terminate these Terms:

• By mutual agreement
• Upon completion of services
• For material breach with 30 days written notice
• Immediately for cause (including non-payment)

Upon termination, all outstanding payments become immediately due.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action must be brought in the courts located in Orange County, Florida.

12. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

13. Modifications

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through our website. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full effect.

15. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Solventus LLC regarding our Services and supersede all prior agreements and understandings.
